Legal Fee and Engagement Agreement

Dear Client,

Thank you for retaining Joseph Legacy Planning to help design your custom estate plan, using our LegacyKey program to create your foundational documents. We look forward to working together and have prepared this written fee and engagement agreement (this “Agreement”) to describe the general terms of our legal representation to you.

1. Only Client: We have been retained to represent you exclusively, and no other person who might be connected to your plan. If you are married, we represent you and your spouse jointly.
   
2. Potentially Conflicting Parties: We will conduct a conflicts check upon your execution of this Agreement. If we identify a conflict that prevents representation, we will notify you promptly. You understand that we may represent other clients whose interests differ from or are adverse to yours, provided we reasonably believe we can provide competent and diligent representation and such representation is permitted by law. You agree to inform us of any known or potential conflicts. Failure to disclose known conflicts constitutes a waiver of those undisclosed conflicts.
   
3. Confidentiality: You are entitled to our undivided loyalty which means that we will keep your secrets and communications confidential. Unless authorized by you or your appointed agent, we are unable to share such confidential information with any other persons who may request it.
   
4. Fees: The flat fee for this engagement is $999 and is earned upon receipt for the services listed in Paragraph Six below.
   
5. Termination and Dispute Resolution: You may terminate our representation at any time by written notice. Any dispute relating to fees, costs, or performance under this Agreement that cannot be resolved informally shall be submitted to mediation and, if necessary, binding arbitration under the Rules of the American Arbitration Association. Arbitration shall be the exclusive remedy for disputes arising from this Agreement, except for actions to enforce an arbitration award.
   
6. Services Provided: The services contemplated under this Agreement include:
   1. Immediate legal representation: Joseph Legacy Planning will be immediately accessible to you and available throughout the duration of the estate planning process.
   2. Drafting and execution of foundational Estate Planning Documents: (1) Last Will & Testament; (2) Durable Power of Attorney; (3) Advance Directive; and (4) Health Care Representative.
   3. The opportunity to schedule an additional meeting with the attorney to discuss advanced planning options that may suit your goals and objectives.
      
7. Services Not Provided: This Agreement does not contemplate the implementation of any advanced planning options, including but not limited to: trusts, asset protection, special needs planning, Medicaid planning, healthcare clinical advocacy, business succession planning, or ongoing legal monitoring, review, and updates to your estate plan. If you choose to implement any advanced planning options, a new fee and engagement agreement will be explained and required to move forward.

We are committed to providing you and your loved ones with the best possible legal service. At all times, we want our work to be responsive to your needs, and to be cost-effective. If you are ever concerned that we are not meeting those needs, please bring it to our attention immediately so we can remedy the situation.
